The short version
- SubDesk is a place to record what you pay for. You type the entries; we store them, do the sums and remind you of the dates.
- What you record is yours. We host it to run the service for you and for nothing else.
- A paid plan renews until you cancel it, which you can do at any time from your profile. A first payment is refundable for 14 days.
- A lifetime deal lasts for as long as SubDesk is offered, on the plan the code names.
- A reminder is a convenience, not a guarantee. The dates and the decisions stay yours.
A summary for convenience. The sections below are what applies.
1.The agreement
These terms are the agreement between you and SubDesk ("we", "us") for the website and the app at subdesk.app (the "service"). Creating an account means you accept them, together with the Privacy Policy and the Refund Policy.
You must be at least 18, or the age of majority where you live, to open an account. If you use the service for a company or a client, you confirm that you may accept these terms on their behalf.
2.Your account
You sign up with an email address and a password, or with your Google account. Give an address you can read: it is where the confirmation, password resets and notices about your account go.
An account is for one person. Keep the password to yourself, and tell us at once if you think someone else has used the account. To work with other people, share a workspace with them instead of sharing a login (see Shared workspaces).
You are responsible for what happens under your account.
3.Plans and limits
The service has a Free plan and two paid plans, Plus and Pro. What each includes, and how many subscriptions, warranties and policies, workspaces, people, clients and how much invoice storage it holds, is set out on the pricing section of the home page. Those limits are part of these terms.
Limits are counted per account, across all of its workspaces, and are enforced by the service. A single uploaded invoice can be up to 1 MB.
When an account moves to a lower plan, whether because a paid plan was cancelled, a payment failed, a trial ended or a purchase was refunded, nothing is deleted. Anything over the lower plan's limits stays where it is; you cannot add more until you are under the limit again, workspaces beyond the limit are locked until the plan allows them or you delete others, and features the lower plan does not include become read-only.
4.Payment, renewal and cancellation
Paid plans bought on this site are billed in US dollars, monthly or yearly, in advance, through Stripe. We never see or store your full card number; Stripe does, under its own terms.
A paid plan renews automatically at the end of each period, at the price then in force, until you cancel it. You can cancel at any time from the billing portal on your profile page. Cancelling stops the next renewal; the plan stays active until the end of the period already paid for, and then the account returns to the plan it would otherwise have.
Moving from Plus to Pro in the middle of a period is charged pro rata by Stripe. Moving down takes effect as the billing portal describes at the time.
Prices exclude any sales tax, VAT or similar tax that applies where you live; if one applies it is shown before you pay. If we change the price of a plan you are on, we will tell you by email at least 30 days before the renewal it first applies to, and you can cancel before then.
If a renewal payment fails, Stripe retries it; if it still fails, the paid plan ends and the account returns to Free.
Refunds are covered by the Refund Policy: in short, a first payment is refunded in full within 14 days, and renewals are not refunded.
5.Redeem codes, trials and lifetime deals
A redeem code gives an account a paid plan without a payment on this site, either for a fixed number of days (a trial) or for good (a lifetime deal). Codes come from us directly, or from a marketplace or partner that sells them, such as AppSumo. You redeem a code on your profile page; a code bought on AppSumo can also be redeemed at subdesk.app/appsumo, with or without an account yet.
- A trial ends by itself. We do not take a card for it and it never turns into a charge; when it ends the account returns to the plan it would otherwise have.
- "Lifetime" means for as long as SubDesk is offered, not the lifetime of the buyer. A lifetime deal covers the plan the code names, with that plan's limits as they stood when you redeemed it or higher, and every later update to that plan. It does not cover plans above it, or products and add-ons sold separately.
- A code is for one account and can be redeemed by that account once. It cannot be resold, shared, transferred to another account or exchanged for money. Codes do not add up to a higher plan unless the offer they came with says so.
- A code may have an expiry date or a limited number of redemptions, stated where you got it. A code bought through a marketplace must be redeemed within the period that marketplace sets.
- A code does nothing, and is not used up, when it would not change the account: for example a trial of a plan you already pay for.
- If the purchase behind a code is refunded, charged back or found to be fraudulent, the code is cancelled and the plan it gave ends (see the Refund Policy).
A purchase made through a marketplace is a contract of sale with that marketplace: it takes the payment and its own terms and refund guarantee apply to the money. These terms apply to your use of SubDesk from the moment you redeem the code.
You can hold a lifetime deal and a paid plan at the same time, and the account runs on the higher of the two. Cancelling the paid plan leaves the lifetime deal in place.
6.What you record is yours
Everything you enter or upload, your subscriptions, prices, cards, warranties and policies, clients, notes and invoice files, remains yours. You give us permission to store it, process it and show it back to you, and to the people you share a workspace with, for the sole purpose of running the service.
A card in SubDesk is a nickname, a card type, the last four digits and, if you choose, the month it expires. Do not enter a full card number, a security code, a bank login or a password anywhere in the service, including in notes and in uploaded files.
You are responsible for having the right to record and upload what you put in, including details of your clients and documents issued by other companies.
8.Acceptable use
You agree not to:
- use the service to break the law, or upload anything unlawful, infringing or malicious;
- try to get into accounts, workspaces or data that are not yours, or get around plan limits, the throttle on redeem codes or any other technical restriction;
- probe, scan or load-test the service without our written agreement, or disrupt it for others;
- access the service by automated means in a way that burdens it, scrape it, or copy it to build a competing product;
- resell the service, or sell or pass on redeem codes;
- open several accounts to multiply the limits of the Free plan or of a trial.
Found a security problem? Tell us at the address below and give us a reasonable time to fix it before you tell anyone else. We will not act against good-faith research that stays within your own account.
9.A record, not advice
SubDesk does not connect to your bank, your cards or the companies you pay. It knows what you typed. Renewal dates, cancel-by dates, totals, margins and reports are worked out from your entries and are only as right as they are.
Reminder emails and countdowns are a convenience. Email can be delayed, filtered or lost, and the service can be unavailable. You remain responsible for renewing, cancelling, claiming and billing on time, and we are not liable for a charge, a missed deadline or a lapsed warranty or policy because a reminder did not arrive or a date was wrong.
Amounts shown in a currency other than US dollars are converted at reference rates that are not live market rates. They are estimates, not a quotation.
Nothing in the service is financial, tax, accounting, insurance or legal advice. Client billing records what you intend to bill; it does not issue invoices, collect payment or keep statutory accounts.
10.Changes and availability
We work to keep the service running and your data safe, but we do not promise that it will be uninterrupted or free of errors. We may add, change or remove features. We will not, without notice, remove a feature that a plan you have paid for was sold with, nor lower its limits for the period you have paid for.
If we ever decide to close the service, we will give every account at least 90 days' notice by email, keep your data exportable throughout, and refund the unused part of any yearly plan bought on this site. A lifetime deal ends with the service; if that happens within the marketplace's refund period, its guarantee applies.
11.Closing or suspending an account
You can stop using the service at any time. To close your account and delete your data, use Delete account under Your data on your Profile page, which takes effect at once and cannot be undone, so export your data there first if you want a copy. If you cannot sign in, write to [email protected] from the account's email address and we delete it within 30 days, as the Privacy Policy describes. Deleting an account cancels any paid plan immediately and does not by itself refund a period already paid for; a plan redeemed with a code, a lifetime deal included, ends with the account and the code cannot be used again.
We may suspend or close an account that seriously or repeatedly breaks these terms, that is used for fraud, or whose payments are reversed. Where we reasonably can, we will warn you first and give you the chance to put it right and to export your data. An account closed for breach is not owed a refund, except where the law says otherwise.
12.Disclaimers
The service is provided "as is" and "as available". To the fullest extent the law allows, we disclaim all warranties, express or implied, including fitness for a particular purpose, merchantability and non-infringement.
13.Limitation of liability
To the fullest extent the law allows, we are not liable for indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue, savings or data, however caused.
Our total liability for all claims about the service is limited to the greater of what you paid us for it in the twelve months before the claim arose and US$50. For a plan obtained through a marketplace, "what you paid us" means the price you paid the marketplace for it.
Nothing in these terms limits liability that cannot be limited by law, or takes away rights you have as a consumer under the mandatory law of the country you live in.
14.Changes to these terms
We may update these terms. When a change is material we will tell you by email or in the app at least 30 days before it takes effect, and the date at the top of this page will change. Using the service after that date means you accept the new terms; if you do not, you can close your account, and a change never takes away a refund you were already entitled to.
15.Governing law
These terms are governed by the laws of Thailand, and the courts of Thailand have jurisdiction over any dispute, except that a consumer keeps the protection of the mandatory law, and the courts, of the country they live in. Please write to us first: most things can be settled by email.
If a part of these terms is found unenforceable, the rest stays in force. Not enforcing a term is not a waiver of it. You may not transfer this agreement; we may transfer it to a successor that takes over the service, on the same terms.
